Acceptance of Terms
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Deadband Life, doing business as Deadband Life ("Company," "we," "us," or "our").
By accessing or using our website at https://www.deadbandlife.com, creating an account, joining our waitlist, purchasing any product or service, or participating in our community, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety, including all policies incorporated by reference.
If you do not agree to these Terms, you must immediately cease all use of the Services and close any account you have created.
These Terms form a binding contract upon your first use of the Services, whether or not you have created an account or made a purchase. Continued use of the Services after any update to these Terms constitutes acceptance of the updated Terms.

The following defined terms apply throughout these Terms. Capitalized terms used but not defined herein have the meaning given in our Privacy Policy.

- "Services"
- All products, courses, community platforms, consulting services, digital downloads, email programs, merit badge systems, and content provided by Deadband Life, whether free or paid.
- "Content"
- All text, audio, video, graphics, code, methodologies, frameworks, curricula, and other materials created by or for Deadband Life, including but not limited to the Life Systems Stack, the Deadband Engineering Process, and merit badge curriculum.
- "Digital Product"
- Any downloadable or streamed product including online courses, video modules, PDF guides, workbooks, templates, and course bundles delivered electronically.
- "Consulting Services"
- Any live, scheduled, or asynchronous advisory, coaching, or guidance session provided by Deadband Life personnel, whether individual or group.
- "Community"
- Any online forum, group, discussion platform, or membership environment operated by Deadband Life.
- "User Content"
- Any content, post, submission, badge documentation, feedback, or material you upload or contribute to the Services.
- "Account"
- The registered user profile created to access the Services.

Services Described
Deadband Life provides systems-based lifestyle education and consulting, including but not limited to:

We reserve the right to modify, suspend, discontinue, or add to any Service at any time. We will provide reasonable notice of material changes where practicable.

Eligibility
To use the Services, you must meet all of the following requirements:
- Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is greater);
- Have the legal capacity to enter into a binding agreement;
- Not be barred from using the Services under applicable law;
- Have not been previously suspended or removed from the Services by us.
By using the Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of a business, organization, or other legal entity, you further represent that you have authority to bind that entity to these Terms.
Our Services are not directed to individuals under 18 years of age. If we learn that a user is under 18, we will terminate their access and delete associated data without notice. See our Privacy Policy, Section 12 for our full children's privacy practices.

Account Registration & Security
5.1 Registration
Access to certain Services requires creating an Account. When registering, you agree to provide accurate, current, and complete information and to keep your information updated. You may not use a false identity, impersonate another person, or create an Account on behalf of someone else without their authorization.
5.2 Account Security
You are solely responsible for:
- Maintaining the confidentiality of your login credentials;
- All activities that occur under your Account;
- Notifying us immediately at [SECURITY EMAIL] if you suspect unauthorized access.
We are not liable for any loss or damage arising from your failure to protect your Account credentials. We reserve the right to disable any Account at our discretion if we believe security has been compromised.
5.3 One Account per User
Each Account is for a single individual. You may not share your Account, login credentials, or course access with any other person. Sharing access constitutes a material breach of these Terms and may result in immediate termination of your Account without refund.

Purchases, Pricing & Payment
6.1 Pricing
All prices are stated in US Dollars (USD) unless otherwise specified. Prices are subject to change at any time. Changes will not affect purchases already completed. We reserve the right to offer promotional pricing, discounts, or bundle pricing at our discretion.
6.2 Payment Processing
Payments are processed through our third-party payment processor (Stripe). By making a purchase, you authorize us to charge the payment method you provide for the applicable fees. You agree to provide current, complete, and accurate payment information. We do not store full payment card data on our systems.
6.3 Taxes
You are responsible for all taxes, duties, levies, or similar governmental assessments applicable to your purchase. Where required by law, we will collect and remit applicable taxes. Prices displayed may or may not include applicable sales tax depending on your jurisdiction.
6.4 Payment Plans
Where a payment plan is offered, you authorize us to charge the agreed installment amounts on the scheduled dates. Failure to complete all scheduled payments may result in suspension of access to the applicable Services. Outstanding balances are due in full. Completing a payment plan does not entitle you to a refund for amounts already paid.
6.5 Failed Payments
If a payment fails, we will attempt to notify you using the contact information on your Account. We may retry the charge, suspend access, or terminate your Account if payment issues are not resolved within 45 days of first notification. We are not responsible for any service disruption resulting from failed payments.
6.6 Chargebacks
If you initiate a chargeback or payment dispute with your financial institution without first contacting us to attempt resolution, we reserve the right to suspend or terminate your Account and pursue recovery of all disputed amounts plus any fees incurred as a result of the chargeback.
Section_07
Refund & Cancellation Policy
Refund eligibility varies by service type. Digital products have a different policy than consulting services and courses. Read your applicable category carefully before purchasing.
7.1 Digital Products (Courses, Downloads, Workbooks)
Due to the instant-access nature of digital products, all digital product purchases are final and non-refundable once access has been granted, except as required by applicable law or as described in a specific product's refund window below.
Where we offer a stated refund window for a specific product (e.g., a "7-day satisfaction guarantee"), eligibility requires:
- Request submitted within the stated window from the date of purchase;
- Proof that the product did not function as described (technical failure, not personal preference);
- No completion of more than 25% of the course or program (if applicable).
7.2 Consulting Services
For individually scheduled consulting sessions:
- Cancellations made more than 48 hours before the scheduled session may be rescheduled at no charge;
- Cancellations made within 48 hours of the scheduled session will forfeit the session fee;
- No-shows forfeit the full session fee with no option to reschedule;
- If we cancel a session, you will receive a full credit or refund for that session.
7.3 Consulting Packages & Retainers
Consulting packages sold as multi-session bundles or retainers are non-refundable for sessions already delivered. For sessions not yet delivered, a pro-rata credit (not cash refund) may be applied toward other Services at our sole discretion. No cash refunds will be issued for early termination of a retainer arrangement.
7.4 Community & Membership Access
Community access and membership subscriptions are billed in advance and are non-refundable for any portion of a billing period already paid. You may cancel at any time, and your access will continue until the end of the current paid period.
7.5 How to Request a Refund
All refund requests must be submitted to [REFUND EMAIL] with your order number, account email, and reason for the request. We will respond within 5 business days. Approved refunds will be processed to the original payment method within 10 business days.
Section_08
Subscriptions & Auto-Renewal
Certain Services are offered on a subscription basis with recurring billing. By enrolling in a subscription, you authorize us to charge your payment method automatically at the start of each billing period (monthly or annually, as selected) until you cancel.
Your subscription will automatically renew at the then-current rate unless you cancel at least 24 hours before the renewal date. We will send you a renewal reminder [X] days before the renewal date. You are responsible for canceling before the renewal date if you do not wish to be charged for the next period.
8.1 Cancellation of Subscriptions
You may cancel your subscription at any time through your Account settings or by contacting us at [SUPPORT EMAIL]. Cancellation takes effect at the end of the current billing period. You will retain access to subscription benefits through the end of the period for which you have paid. No partial-period refunds are issued upon cancellation.
8.2 Price Changes
We reserve the right to change subscription pricing. We will provide at least 30 days' advance notice of any price increase. Your continued subscription after the effective date of a price change constitutes acceptance of the new price. If you do not agree to the new price, you may cancel before the change takes effect.

Intellectual Property
9.1 Ownership
All Content and materials made available through the Services — including but not limited to the Deadband Life name and wordmark, the Life Systems Stack framework, the Deadband Engineering Process, the merit badge curriculum, all course videos, audio recordings, written materials, workbooks, methodologies, assessments, software, and graphic design — are the exclusive property of Deadband Life and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws.
9.2 Trademarks
The Deadband Life name, logo, taglines, and brand elements are trademarks or service marks of Deadband Life. You may not use any Deadband Life trademark without our prior written consent. Nothing in these Terms grants you any right to use our trademarks.
9.3 No Transfer of Ownership
Your purchase of any Service or product grants you a limited license to use the Content as described in Section 10. It does not transfer ownership of any intellectual property to you. All rights not expressly granted are reserved.
9.4 Copyright Infringement
If you believe that any Content on our Services infringes upon your copyright, please send a DMCA takedown notice to our designated agent at [DMCA EMAIL]. Your notice must comply with the requirements of 17 U.S.C. § 512(c)(3).

License to Use
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Content and Services for your personal, non-commercial use only.
This license expressly prohibits you from:
- Reproducing, copying, distributing, or publicly displaying any Content without our written permission;
- Creating derivative works based on our Content, frameworks, or methodologies;
- Reselling, sublicensing, or otherwise transferring access to another person;
- Sharing login credentials or account access with any third party;
- Using any Content for commercial purposes, client work, or resale without a separate written commercial license from us;
- Downloading, screen-recording, or otherwise capturing video or audio Content for distribution;
- Using our Content to create competing products, services, courses, or methodologies;
- Using automated tools, bots, scrapers, or data extraction methods to access or harvest Content.

User Conduct & Prohibited Uses
You agree to use the Services only for lawful purposes and in a manner consistent with these Terms and our community standards. You agree not to:

- Harass, abuse, threaten, defame, intimidate, or harm any other user or Deadband Life personnel;
- Post spam, unsolicited commercial messages, chain letters, or pyramid schemes;
- Impersonate Deadband Life, any employee, or any other person or entity;
- Upload or transmit viruses, malware, or any other malicious code;
- Attempt to gain unauthorized access to any system, account, or network;
- Interfere with or disrupt the integrity or performance of the Services;
- Collect or harvest personal information about other users without their consent;
- Use the Services to promote, sell, or distribute competing products or services;
- Disparage, denigrate, or make false statements about Deadband Life in public forums in a manner that constitutes defamation;
- Use the Services in any way that could damage our reputation or the experience of other users.
We reserve the right to investigate and take appropriate action against anyone who, in our sole judgment, violates this provision, including removing content, suspending or terminating accounts, and reporting to law enforcement.

User-Generated Content
12.1 Your Content
You retain ownership of User Content you submit to the Services. By submitting User Content, you grant Deadband Life a worldwide, royalty-free, non-exclusive, perpetual license to use, reproduce, display, distribute, and create derivative works from your User Content solely for the purposes of operating, improving, and promoting the Services.
12.2 Your Representations
By submitting User Content, you represent and warrant that:
- You own or have all necessary rights to submit the content;
- The content does not infringe any third party's intellectual property rights;
- The content does not violate any applicable law;
- The content is accurate and not misleading.
12.3 Testimonials
If you submit a testimonial, review, or success story, you grant us the right to use it for marketing and promotional purposes across all channels, with or without attribution, unless you expressly request otherwise in writing at the time of submission.
12.4 Content Moderation
We reserve the right (but not the obligation) to review, edit, or remove any User Content that violates these Terms, our community guidelines, or applicable law. We are not responsible for any User Content posted by others.

The Services, Content, and consulting provided by Deadband Life are for general educational and informational purposes only. They do not constitute and must not be relied upon as professional financial, legal, medical, psychological, therapeutic, or any other licensed professional advice.
Specifically and without limitation:
- Not Financial Advice: Nothing we provide constitutes investment advice, financial planning, tax guidance, accounting services, or securities advice as defined under applicable law. Indemnification
You agree to defend, indemnify, and hold harmless Deadband Life, its owners, officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

- Your violation of any third-party right, including any intellectual property or privacy right;
- Any User Content you submit or transmit through the Services;
- Any claim that your User Content caused damage to a third party;

Termination
20.1 Termination by Us
We may suspend or terminate your Account and access to the Services at any time, with or without cause, with or without notice, and without liability to you, including but not limited to situations where:
- You have violated any provision of these Terms;
- We reasonably believe your conduct poses a risk to other users, the Services, or us;
- Your payment obligations are in default;
- We are required to do so by law or court order;
- We discontinue the Services or a portion thereof.
20.2 Termination by You

20.3 Effect of Termination
Upon termination, your license to use the Services and access to Content immediately ceases. Sections 9, 13, 14, 15, 16, 17, and 21 of these Terms survive termination and remain in full force.

Governing Law & Dispute Resolution
21.1 Governing Law
These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles.
21.2 Informal Resolution First
Before filing any formal legal claim, you agree to contact us at [LEGAL EMAIL] and attempt to resolve the dispute informally for a period of at least 30 days. This requirement does not apply to requests for injunctive or other equitable relief.
21.3 Binding Arbitration
EXCEPT AS PROVIDED BELOW, ALL DISPUTES ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED BY FINAL AND BINDING ARBITRATION ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION (AAA) UNDER ITS CONSUMER ARBITRATION RULES, BEFORE A SINGLE ARBITRATOR. ARBITRATION SHALL TAKE PLACE IN Richmond, VA OR BY VIDEO CONFERENCE. THE ARBITRATOR'S AWARD SHALL BE FINAL AND BINDING AND MAY BE ENTERED AS A JUDGMENT IN ANY COURT OF COMPETENT JURISDICTION.
21.4 Class Action Waiver
YOU AND DEADBAND LIFE EACH WAIVE ANY RIGHT TO BRING CLAIMS AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of class proceeding.
21.5 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights or breach of confidentiality obligations. Small claims court actions within the jurisdiction's applicable limits are also exempt.
21.6 Jury Trial Waiver
TO THE EXTENT PERMITTED BY LAW, BOTH PARTIES WAIVE THE RIGHT TO A JURY TRIAL IN ANY LITIGATION ARISING OUT OF OR RELATED TO THESE TERMS.

Changes to These Terms
We reserve the right to modify these Terms at any time. We will update the "Effective Date" at the top of this page and notify you of material changes by:
- Email to the address associated with your Account, and/or
- Prominent notice posted on our website.
Your continued use of the Services after the effective date of any revision constitutes your acceptance of the updated Terms. If you do not agree to the revised Terms, you must stop using the Services and close your Account.
We recommend reviewing these Terms periodically. For non-material changes (such as typographical corrections or clarifications that do not affect your rights), we may update without specific notice beyond updating the Effective Date.

Miscellaneous
23.1 Entire Agreement
These Terms, together with our Privacy Policy and any additional terms applicable to specific Services you use, constitute the entire agreement between you and Deadband Life concerning the Services and supersede all prior agreements, representations, and understandings.
23.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, severed from these Terms. The remaining provisions shall continue in full force and effect.
23.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any term shall be deemed a further or continuing waiver of such term or any other term.
23.4 No Agency
Nothing in these Terms creates any agency, partnership, joint venture, employment, or franchisee relationship between you and Deadband Life.
23.5 Force Majeure
We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, pandemics, government actions, labor disputes, or failures of third-party infrastructure providers.
23.6 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets, with notice to you.
23.7 Headings
Section headings in these Terms are for convenience only and have no legal or contractual effect.
23.8 Language
These Terms are written in English. If translated into another language, the English version governs in the event of any conflict.
